Acceptance of Terms
By accessing and using the services provided by Dyadic Solutions Ltd. ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not use our services.
Description of Services
Software Development Services
We provide comprehensive software development services including:

Service Agreements
Project Scope and Specifications
- All projects begin with a detailed scope document outlining deliverables, timelines, and requirements
- Changes to project scope require written approval and may result in additional costs
- We reserve the right to refuse projects that fall outside our expertise or ethical guidelines
Development Process
- We follow agile development methodologies with regular client feedback cycles
- Milestone-based delivery ensures transparency and quality control
- Client participation in testing and feedback phases is required for project success
Payment Terms
Pricing and Invoicing
- Project costs are determined based on scope, complexity, and timeline
- Payment schedules are typically structured around project milestones
- All prices are in New Taiwan Dollars (TWD) unless otherwise specified
- Invoices are payable within 30 days of issuance
Additional Costs
- Third-party licenses, services, or tools required for project completion
- Hosting, domain registration, or cloud service fees
- Travel expenses for on-site work (if applicable)
- Costs for scope changes or additional feature requests
Late Payment
- A 1.5% monthly fee may be applied to overdue amounts
- Services may be suspended for accounts more than 60 days past due
- Legal action may be pursued for significantly overdue accounts
Client Responsibilities
Information and Access
- Provide accurate, complete, and timely information required for project completion
- Grant necessary access to systems, accounts, and resources
- Designate authorized representatives for project communication
- Respond to requests for feedback and approval within agreed timeframes
Content and Materials
- Ensure all provided content is original or properly licensed
- Obtain necessary permissions for use of third-party materials
- Review and approve all deliverables before final implementation
- Maintain current backups of critical data and systems
Compliance
- Ensure business operations comply with applicable laws and regulations
- Provide necessary legal documentation for contracted services
- Maintain appropriate insurance coverage for business operations
Intellectual Property Rights
Client-Owned Assets
- All custom code developed specifically for your project becomes your property upon final payment
- Your business data, content, and pre-existing intellectual property remain your property
- Trademarks, logos, and brand materials provided by you remain your property
Dyadic Solutions Assets
- Our proprietary tools, frameworks, and methodologies remain our property
- Pre-existing code libraries and templates may be used across multiple projects
- We retain the right to use general knowledge and skills gained during project completion
Third-Party Components
- Open-source and third-party components are subject to their respective licenses
- We will clearly identify any third-party dependencies and their licensing terms
- Ongoing license compliance is the client's responsibility post-delivery
Confidentiality and Non-Disclosure
Information Protection
- We treat all client information as confidential and proprietary
- Technical specifications, business processes, and strategic information are protected
- Access to confidential information is limited to necessary team members
- Confidentiality obligations survive project completion indefinitely
Non-Disclosure Agreement
- Formal NDAs may be executed for highly sensitive projects
- We will not disclose client information without explicit written consent
- Exceptions include legally required disclosures and anonymized case studies (with permission)
Quality Assurance and Testing
Development Standards
- All code follows industry best practices and security standards
- Comprehensive testing is performed at each development stage
- Performance optimization and scalability considerations are integrated
- Code documentation and deployment guides are provided
Bug Fixes and Warranties
- We provide a 90-day warranty for defects in delivered software
- Critical security vulnerabilities are addressed immediately at no charge
- Warranty covers functionality as specified in project documentation
- Issues caused by client modifications or third-party changes are excluded
Limitation of Liability
Service Limitations
- Our liability is limited to the total amount paid for the specific service
- We are not liable for indirect, consequential, or incidental damages
- Business interruption, lost profits, or data loss are excluded from liability
- Force majeure events release us from performance obligations
Client System Integration
- We are not responsible for compatibility issues with existing systems not disclosed during planning
- Performance impacts from client infrastructure limitations are excluded
- Integration failures due to incomplete or inaccurate system information are not our responsibility
Data Backup and Recovery
Backup Responsibilities
- Clients are responsible for maintaining current backups of all critical data
- We recommend automated, redundant backup systems for business-critical applications
- Backup and recovery procedures should be tested regularly
- We can provide backup solution recommendations but implementation is client responsibility
Data Recovery Services
- Data recovery services are available on a time-and-materials basis
- Recovery success depends on backup quality and system condition
- Emergency recovery services may incur premium rates
- No guarantee of complete data recovery can be provided
Service Modifications and Termination
Service Changes
- We reserve the right to modify services, pricing, or terms with 30 days notice
- Existing contracts are honored until completion or renewal
- Significant service changes may allow early contract termination
Contract Termination
- Either party may terminate with 30 days written notice
- Completed work and partial deliverables remain billable
- Source code and deliverables are transferred upon final payment
- Confidentiality and intellectual property provisions survive termination
Suspension of Services
- Services may be suspended for non-payment or breach of terms
- Client notification of suspension reasons will be provided
- Service restoration occurs upon resolution of underlying issues
Governing Law and Dispute Resolution
Jurisdiction
- These Terms are governed by the laws of Taiwan (Republic of China)
- Any disputes will be resolved in the courts of Taipei, Taiwan
- Both parties consent to jurisdiction and venue in Taiwan
Dispute Resolution Process
- Direct Negotiation: Initial attempt to resolve disputes through discussion
- Mediation: Formal mediation through a mutually agreed mediator
- Arbitration: Binding arbitration if mediation fails
- Litigation: Court proceedings as a last resort
Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:
- Natural disasters, pandemics, or government actions
- Internet service disruptions or cyberattacks
- Third-party service provider failures
- Labor disputes or supply chain disruptions
Performance obligations are suspended during force majeure events and resume when conditions normalize.
Severability and Entire Agreement
Severability
- If any provision of these Terms is found unenforceable, the remainder remains in effect
- Invalid provisions are modified to the minimum extent necessary to make them enforceable
- The overall intent and structure of the agreement is preserved
Entire Agreement
- These Terms constitute the complete agreement between parties
- Prior negotiations, representations, or agreements are superseded
- Modifications require written agreement signed by both parties
- Electronic signatures and digital acceptance are legally binding
